Terms of Service
Last updated May 12, 2026. By using Note & Key, you agree to these terms.
1. Who we are
Note & Key is a studio-management web and iOS app operated by Note & Key, based in Vancouver, British Columbia, Canada. These terms form a contract between you and us.
2. Accounts
To use Note & Key you create an account using a valid email address. You're responsible for keeping your credentials safe and for everything that happens under your account. You must be at least 18 years old, or the age of majority in your jurisdiction, to create a teacher or studio admin account. Parents and guardians may create accounts and add their minor children as student records — see our privacy policy for how children's data is handled.
3. License to use the app
We grant you a limited, non-exclusive, non-transferable, revocable license to use Note & Key for your personal or small-business music-teaching purposes. You may not:
- Sublicense, sell, or rent access to the service.
- Copy or scrape the app's interface or source.
- Reverse-engineer or attempt to extract source code, except as permitted by law.
- Use the service to harass, threaten, or abuse anyone.
- Upload illegal, infringing, or otherwise unlawful content.
- Interfere with security or operation (rate-limit evasion, vulnerability exploitation, etc.).
4. Your content
"Your Content" means everything you upload to the service: recordings, sheet music, photos, lesson notes, messages, payment records, and so on. You retain all ownership.
By uploading Your Content, you grant us a limited license to store, transmit, display, and process it solely as needed to provide the service to you and to the specific people you're sharing with (your teacher / your family). We don't use Your Content for anything else. We don't train AI models on it. We don't sell it. When you delete content or your account, we delete Your Content per our privacy policy.
You are responsible for Your Content. Don't upload anything you don't have the right to share. We may remove content that violates these terms or applicable law.
5. Payments and invoicing
Note & Key helps teachers send invoices and record payments. The actual flow of money happens outside the app:
- Interac e-Transfer: families send money directly from their bank to the teacher's bank. We display the teacher's accepted email and security details, and we record the payment when the teacher marks it received. We are not a party to the transaction.
- Stripe (when launched): Stripe processes card transactions on behalf of the studio. Stripe's terms apply to that processing.
- App Store in-app purchases (if/when offered): Apple processes those transactions per their own terms.
We are not responsible for disputes between teachers and families over fees, refunds, or services rendered. Settle those directly.
6. Subscriptions
Note & Key offers a Free plan (1 student, forever) and a Pro subscription ($12.99/mo or $99/yr). Pro is billed by Apple (iOS) or Google (Android), auto-renews until canceled, and is governed by the full Subscription Terms and Refund Policy.
Cancel anytime in iOS Settings → Subscriptions or the Play Store. We cannot refund App Store / Play Store charges directly — refunds go through Apple or Google.
6a. Acceptable use
You agree to use Note & Key only as a tool for legitimate music teaching. The full list of prohibited content and behavior — including CSAM zero-tolerance, hate speech, unauthorized recordings, copyright infringement, and security probing — is in the Acceptable Use Policy.
7. Service availability
We aim for high uptime but we don't promise uninterrupted service. We may take the service down for maintenance or to address security issues. We're not liable for losses caused by outages, but we'll communicate planned downtime when feasible.
8. Termination
You can stop using Note & Key at any time. You can delete your account from Settings → Account → Delete account. That removes your data per our privacy policy.
We may suspend or terminate your access if you violate these terms, abuse the service, or use it for unlawful purposes. We'll give you reasonable notice unless that would be harmful to others or impractical.
9. Disclaimers
Note & Key is provided "as is" and "as available." We disclaim, to the maximum extent permitted by law, all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee that the service will be error-free, uninterrupted, or meet your specific requirements. We don't make any representation about the quality of music instruction provided by teachers using our platform — teachers are independent operators.
10. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising out of or related to Note & Key is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) CAD $100. We are not liable for indirect, consequential, incidental, or punitive damages. Some jurisdictions don't allow these limits; in those cases our liability is limited to the smallest extent permitted by law.
11. Indemnification
You agree to indemnify and hold Note & Key harmless against any claims brought by third parties arising out of (a) content you upload, (b) your violation of these terms, or (c) your violation of any applicable law.
12. Governing law and disputes
These terms are governed by the laws of British Columbia, Canada, without regard to conflict-of-laws rules. Disputes must be brought in the courts of British Columbia, Canada, except where applicable consumer-protection law requires otherwise.
Before filing a lawsuit, we ask that you first contact us at support@noteandkey.app so we can try to resolve the issue informally.
13. Apple-specific terms + EULA
If you use Note & Key on iOS via the App Store, Apple is not a party to these terms. Apple has no obligation to provide maintenance or support for the app. Apple is not responsible for product warranties, claims of intellectual-property infringement, or any other claim concerning the app. Apple is a third-party beneficiary of these terms and may enforce them against you.
The full End-User License Agreement (EULA) sets out the additional terms required by the App Store Guidelines (Schedule 2 / Standard LMA). The EULA controls over this section for the iOS app.
14. Changes
We may update these terms occasionally. For material changes, we'll notify you in-app and give you a chance to review before they take effect. Continued use after the effective date means you accept the updated terms.
